Pakistan Telecommunication Limited held an extra ordinary general meeting on November 18th, 2025 to consider the special business of approving the acquisition of Telenor Pakistan (Private) Limited and Orion Towers (Private) Limited from Telenor Pakistan BV as per the terms of the Share Purchase Agreement dated December 14, 2023.
The funding for this deal is to be provided to the tune of USD 400 Mn from the International Finance Corporation, Silk Road Fund, British International Investment and any other lender subject to the terms and conditions set out in the Common Terms Agreement dated June 27, 2024.
The deal is set to be executed on a debt free cash free basis at an enterprise value of PKR 108 Bn. The share purchase price is to be decided on the transaction date. The resolutions with regards to the deal were passed in the meeting with management highlighting that PTA approval for the transaction is also expected by the end of November 2025.
